Supreme Industries Limited has signed a Memorandum of Understanding (MoU) with Wavin Industries Limited to acquire its Indian piping business. Valued at $30 million plus net working capital, the acquisition marks a major expansion for Supreme Industries, further solidifying its leadership in the plastic piping segment.
Expanding Manufacturing Footprint
As part of the deal, Supreme Industries will take over Wavin India’s manufacturing units in Banmore (Madhya Pradesh), Hyderabad (Telangana), and Neemrana (Rajasthan). The acquisition includes tangible fixed assets, trademarks, intellectual property rights, licenses, contracts, and the existing workforce associated with Wavin’s piping operations.
Gaining Exclusive Access to Advanced Technologies
In addition to acquiring physical assets, Supreme Industries will secure exclusive rights to Wavin B.V.’s advanced technologies in water supply, sanitation, and climate-resilient infrastructure. This seven-year agreement covers India and SAARC countries. It will enhance Supreme’s innovation capabilities and strengthen its position in infrastructure.
Boosting Production Capacity and Market Reach
The acquisition will expand Supreme’s piping division capacity by 73,000 metric tons per annum. The increased production will improve operational efficiency and optimize distribution in North and South India. It will also provide cost advantages and enhance market penetration.
Expected Completion by Mid-2025
The transaction is set to close by June 30, 2025, through either a slump sale or share acquisition. Completion remains subject to regulatory approvals and final working capital adjustments.
