Sun Pharmaceutical Industries Limited signed a definitive agreement to acquire Organon & Co. in an all-cash transaction valued at an enterprise value of US$11.75 billion. Under the agreement, Sun Pharma will acquire all outstanding shares of Organon. The acquisition is expected to significantly strengthen Sun Pharma’s global presence across innovative medicines, women’s healthcare, branded generics and biosimilars, while expanding its footprint in key international markets.
Strategic Acquisition to Accelerate Global Growth
The proposed acquisition aligns with Sun Pharma’s long-term strategy of expanding its Innovative Medicines business and reinforcing its leadership in the Established Brands and Branded Generics segment. The transaction will enable Sun Pharma to enter the rapidly growing biosimilars market as one of the Top 10 global players. By integrating Organon’s portfolio, manufacturing capabilities and international commercial network, the company aims to accelerate sustainable growth and create long-term value for stakeholders.
Organon Brings Strong Global Portfolio
Organon was established in 2021 following its spin-off from Merck & Co., Inc. (known as MSD outside the United States and Canada). Today, the company operates as a global healthcare leader with a strong focus on women’s health. Its portfolio comprises more than 70 products spanning women’s health, general medicines and biosimilars, which are commercialised in over 140 countries. Organon’s largest markets include the United States, Europe, China, Canada and Brazil. The company also operates six manufacturing facilities across the European Union and emerging markets, providing a robust manufacturing and supply chain platform.
